  • Content Ownership and Rights: Clients are responsible for ensuring they have the necessary rights and permissions for all content and materials provided to Detheme for use in their projects. This includes text, images, logos, trademarks, and any other intellectual property.
  • Acceptable Use Policy: Clients must not use Detheme’s services for any unlawful or prohibited activities. This includes, but is not limited to, activities that are harmful, infringe upon others’ rights, or violate intellectual property laws.
  • Payment Obligations: Clients are responsible for timely payments as per the agreed-upon subscription plan. Failure to meet payment obligations may result in suspension or termination of services.
  • Feedback and Communication: Clients are expected to provide timely feedback and communicate effectively to facilitate the successful completion of projects. Delays in communication or feedback may impact project timelines.
  • Data Backup: While Detheme takes measures to protect and backup data related to client projects, clients are encouraged to maintain their own backups of critical data and content provided to Detheme.
  • Use of Services: Clients are responsible for the appropriate use of Detheme’s services and outputs. This includes adhering to the terms of service, respecting the intended use of delivered materials, and not engaging in activities that could harm the reputation or operation of Detheme.
  • Reporting Issues: Clients should promptly report any issues or concerns with the services provided, including technical problems, service quality, or customer support, to enable Detheme to address and resolve such issues effectively.

4. Service Plans and Pricing

5. Use of Created Content

  • Ownership of Deliverables: Upon full payment, clients gain ownership of the final deliverables produced by Detheme as part of the service agreement. This transfer of ownership includes designs, developed code, written content, and other materials specifically created for the client.
  • Detheme’s Proprietary Rights: While clients own the final deliverables, Detheme retains all rights to the underlying tools, methodologies, techniques, and know-how used in creating these deliverables. This includes pre-existing templates, code libraries, and design elements.
  • Client’s Use of Deliverables: Clients are entitled to use the deliverables for their business purposes. This use is limited to the client’s own business and does not include the right to resell, redistribute, or sublicense the deliverables to third parties, unless explicitly agreed upon in writing.
  • Prohibited Uses: Clients must not use the deliverables in any way that infringes upon the rights of others, violates laws, or in a manner that is unethical or harmful to Detheme’s reputation. This includes refraining from modifying the deliverables in a way that misrepresents or alters the original intent.
  • Attribution and Portfolio Use: Detheme reserves the right to display and reference the work done for clients in its portfolio, marketing materials, and case studies, unless otherwise agreed upon. Client consent for such use is assumed unless explicitly denied in writing.
  • Third-Party Content: If the client provides third-party content (e.g., images, text, or data) for inclusion in the deliverables, the client is responsible for ensuring they have the necessary rights and permissions to use such content.
  • Indemnification for Content Misuse: Clients agree to indemnify and hold harmless Detheme from any claims, damages, or expenses arising from the improper use of the deliverables or the inclusion of unauthorized third-party content.
  • Archiving of Deliverables: Detheme may keep copies of the deliverables for archival purposes. However, the responsibility for maintaining backup copies of the deliverables rests with the client.
  • Modification of Deliverables: Clients are free to modify the deliverables post-delivery, but Detheme is not responsible for any issues or challenges that arise from such modifications.
  • Licensing of Third-Party Elements: In cases where Detheme incorporates third-party elements (e.g., stock photos, plugins) into the deliverables, these elements may be subject to separate licensing terms, which the client must adhere to.

6. Cancellation and Refund Policy

  • Subscription Cancellation: Customers have the flexibility to cancel their subscription with Detheme at any time. To initiate the cancellation process, customers are required to contact Detheme before the start of the next billing cycle.
  • No Refund Policy: Due to the nature of our services and the immediate allocation of resources upon subscription (such as assigning a dedicated team to the account), Detheme does not offer refunds under any circumstances. This policy applies regardless of the usage or extent of services rendered during the billing cycle.
  • Service Continuation After Cancellation: In the event of a cancellation, Detheme is committed to ensuring that customers continue to receive the agreed-upon services until the end of the current billing cycle. This means that all services, as per the customer’s subscription plan, will be fully available to them until the cycle concludes.
  • No Partial Month Refunds: Detheme does not provide refunds for partial months. Therefore, if a customer decides to cancel their subscription, the cancellation will become effective at the end of the current billing cycle. Customers will not receive a refund for any remaining days in the cycle after the cancellation request.
  • Responsibility for Cancellation: It is the customer’s responsibility to ensure that the cancellation request has been received and acknowledged by Detheme. Detheme is not responsible for unprocessed cancellations due to late requests or communication issues.
  • Post-Cancellation Access: After the end of the current billing cycle following a cancellation, customers will no longer have access to Detheme’s services. It is the customer’s responsibility to ensure that all necessary data and materials are secured before the service termination date.

7. Limitations of Liability and Indemnification

  • Limitations of Liability:
    • Detheme shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the services; (ii) any conduct or content of any third party on the services; (iii) any content obtained from the services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.
    • Detheme’s total liability for all claims under these terms, including for any implied warranties, is limited to the amount you paid us to use the services (or, if we choose, to supplying you the services again) for the last month of service before the act giving rise to the liability.
  • Indemnification by Users:
    • You agree to defend, indemnify, and hold harmless Detheme and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the service, by you or any person using your account and password; b) a breach of these terms, or c) content posted on the service.
    • This indemnification obligation will survive the termination or expiration of your service agreement and these terms.
  • Exclusions:
    • Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.

    • Detheme primarily uses Trello, Slack, Google Meet, Zoom, and Email for client communications. These platforms facilitate efficient project management, real-time messaging, video conferencing, and email correspondence.
  • Client Support via Digital Platforms:
    • Our client support is readily accessible through these digital platforms. We ensure prompt responses and support through Trello for project updates, Slack for instant messaging, Google Meet and Zoom for video calls, and Email for formal communications and notifications.
  • Project Communication and Collaboration:
    • For each project, clients will be integrated into our communication ecosystem, which includes being added to relevant Trello boards, Slack channels, and email lists. This integration ensures streamlined and organized communication throughout the project lifecycle.
  • Feedback and Suggestions Through Digital Channels:
    • We encourage clients to share their feedback or suggestions through any of these digital platforms. This could be through direct messages on Slack, email communications, or during scheduled meetings on Google Meet or Zoom.
  • Updates and Notifications:
    • Important updates and notifications regarding our services or your subscription will be communicated primarily through Email and supplemented via Slack or Trello, ensuring you are always informed and up-to-date.
  • Emergency Contact and Critical Issues:
    • In case of emergencies or critical issues, clients are advised to use Slack for the quickest response. For issues requiring detailed discussion or demonstration, Google Meet or Zoom can be utilized.
  • Confidentiality Across Platforms:
    • All communications across these platforms are treated with strict confidentiality. We maintain high standards of privacy and security in line with our privacy policy.
  • Language of Communication:
    • The primary language for communication across all platforms is English. Clients requiring communication in other languages are responsible for providing their own translation or interpretation services.
  • Record Keeping of Digital Communications:
    • Clients are encouraged to maintain records of significant communications on these digital platforms for future reference and clarity in case of any disputes.
  • Updating Digital Contact Information:
    • Clients should keep their digital contact information, including email addresses and access to Trello, Slack, Google Meet, and Zoom, current and inform Detheme of any changes to ensure seamless communication.
